1. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms and all applicable laws. If you do not agree, you must not use the Services.

2. Accounts & Registration

You must provide accurate, complete information and keep your account credentials secure. You are responsible for all activities under your account. Notify us immediately of any unauthorized use.

3. Subscriptions, Billing & Taxes

• Fees are billed in advance on a recurring basis unless otherwise stated.
• All payments are non-refundable except as required by law or expressly stated.
• Prices are exclusive of taxes; you are responsible for applicable taxes, duties, and levies.
• We may suspend or terminate the Services for failure to pay.

4. Free Trials

If offered, trials are provided for evaluation only and may be terminated at any time. At the end of the trial, continued use requires a paid subscription unless otherwise communicated.

5. License & Use Restrictions

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. You must not: (a) reverse engineer, decompile, or disassemble the Services; (b) circumvent security or access controls; (c) copy or resell the Services; (d) use the Services for unlawful purposes; or (e) interfere with or disrupt the integrity or performance of the Services.

6. Customer Data

"Customer Data" means data submitted to the Services by you. You retain ownership of Customer Data. You grant us a worldwide, limited license to host, store, process, transmit, and display Customer Data solely as necessary to provide and support the Services and as otherwise permitted by these Terms. You represent that you have obtained all necessary rights to submit Customer Data and that it does not violate any law or third-party rights.

7. Privacy & Data Protection

Our Privacy Policy explains how we collect, use, and protect personal information. Where required, we are willing to enter into a Data Processing Addendum (DPA) for processing of personal data on your behalf.

8. Acceptable Use Policy

• No violation of laws, third-party rights, or contractual obligations.
• No malware, spam, or activity that degrades network or service performance.
• No unauthorized data collection, scraping, or probing of systems.
• No uploading of illegal, harmful, or infringing content.

9. Third-Party Services

The Services may interoperate with third-party products or services. We are not responsible for third-party terms, privacy practices, or actions. Your use of third-party offerings is governed by their terms.

10. Intellectual Property

We and our licensors own all right, title, and interest in and to the Services, including all software, documentation, logos, trademarks, and other content, except for Customer Data. No rights are granted except as expressly set forth in these Terms.

11. Feedback

If you provide suggestions or feedback, you grant us a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and incorporate the feedback without restriction or compensation.

12. Confidentiality

Each party may access the other party’s confidential information. The receiving party will use the same degree of care it uses to protect its own confidential information (and at least reasonable care) and will not disclose it except to personnel and service providers who need to know it and who are bound by confidentiality obligations.

13. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

14. Limitation of Liability

To the maximum extent permitted by law: (a) neither party will be liable for any indirect, incidental, special, consequential, or punitive damages; and (b) each party’s total liability arising out of or related to these Terms will not exceed the amounts paid or payable by you to us for the Services in the twelve (12) months before the event giving rise to liability. These limitations apply even if a party has been advised of the possibility of such damages and regardless of the theory of liability.

15. Indemnification

You will defend, indemnify, and hold harmless Arvin Soft and its affiliates, officers, directors, and employees from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights.

16. Suspension & Termination

We may suspend or terminate access to the Services immediately for any material breach of these Terms, non-payment, legal requirement, security risk, or to protect the Services, users, or third parties. You may terminate at any time by cancelling your subscription, subject to any minimum terms agreed.

17. Service Levels & Support

If a service level agreement (SLA) or support policy is referenced in an order form or your plan, it is incorporated by reference. Otherwise, support is provided on a commercially reasonable basis during business hours.

18. Governing Law & Venue

These Terms are governed by the laws of [Insert Jurisdiction], without regard to its conflict of laws principles. The exclusive jurisdiction and venue for any dispute will be the courts located in [Insert Venue].

19. Export Controls

You must comply with all applicable export control and sanctions laws and shall not use the Services in any jurisdiction or for any purpose prohibited by such laws.
